Terms of Business
These terms of business apply to Sky Vista Property Solutions Ltd (Company Number: 15854023), registered in England and Wales, with its registered office at 52 Collins Meadow, Harlow, England, CM19 4EW.

1. Definitions

1.1 Sky Vista Property Solutions Ltd: the service provider and registered limited company.
1.2 The Client: the organisation or person who purchases the Services from Sky Vista Property Solutions Ltd as specified in the Contract Specification.
1.3 The Goods: the merchandise, wares or materials supplied by Sky Vista Property Solutions Ltd to the Client.
1.4 The Services: the professional services provided by Sky Vista Property Solutions Ltd to the Client.
1.5 The Agreement: these Terms and Conditions together with any terms contained within any Contract Specification.
1.6 The Contract Specification: the schedule of works, written quotation or other similar document giving details of the Goods and/or Services to be provided by Sky Vista Property Solutions Ltd.

2. General and Interpretation

2.1 These Terms and Conditions apply to all contracts for the supply of Goods and/or Services by Sky Vista Property Solutions Ltd to the Client and exclude all other terms unless agreed in writing.
2.2 Variations must be agreed in writing by a Director of Sky Vista Property Solutions Ltd.
2.3 References to statutes include amendments or replacements.
2.4 Headings do not affect interpretation.

3. Charges, Invoicing and Payment

3.1 A contract is formed upon written acceptance by Sky Vista Property Solutions Ltd.
3.2 Fees will be detailed in the Contract Specification.
3.3 Quotes exclude parking/congestion charges which may be billed separately.
3.4 Prices may change due to factors outside Sky Vista Property Solutions Ltd's control (e.g. wage increases, material costs).
3.5 Invoices are payable within the specified period. Late payments may incur 8% interest above the Bank of England base rate.

4. Client Responsibilities

4.1 Clients must provide necessary permissions, access, and accurate information.
4.2 Clients are responsible for costs/losses resulting from failure to cooperate or provide access/information.

5. Health and Safety

5.1 Clients must ensure safe working environments and notify Sky Vista Property Solutions Ltd of hazards.
5.2 Services may be suspended if risks are present.

6. Variations to Services

6.1 Only authorised changes agreed in writing will be binding.

7. Warranty

7.1 All warranties are limited to those expressly stated in the Agreement.

8. Indemnity

8.1 Clients indemnify Sky Vista Property Solutions Ltd against losses from their negligence.
8.2 Sky Vista Property Solutions Ltd indemnifies Clients for its own negligent acts.

9. Limitation of Liability

9.1 Liability is limited to direct losses from proven negligence, notified within 7 days.
9.2 No liability for variations unless formally agreed.
9.3 No liability for indirect losses or missed deadlines unless explicitly agreed.
9.4 Nothing limits liability for personal injury or fraud.

10. Cancellation

10.1 Clients may cancel within 14 days unless:
10.1.1 Goods are bespoke
10.1.2 Emergency services were requested
10.2 If services started within 14 days, charges may apply.

11. Termination

11.1 The Agreement ends upon completion and full payment.
11.2 Immediate termination allowed for insolvency or serious breach.

12. Force Majeure

12.1 Neither party is liable for delays caused by:
12.1.1 Strikes
12.1.2 Natural disasters
12.1.3 War or terrorism
12.1.4 Government action
12.1.5 Third-party delays
12.1.6 Site access issues or safety risks

13. Assignment

13.1 Sky Vista Property Solutions Ltd may assign its duties.
13.2 The Client must get written consent to assign theirs.

14. Severability

14.1 Invalid provisions do not affect the rest of the Agreement.

15. Waiver

15.1 Delay or waiver in enforcing rights does not waive future rights.

16. Notices

16.1 Must be in writing and delivered by post, email, or hand.

17. Entire Agreement

17.1 This Agreement replaces all prior understandings.

18. Third Party Rights

18.1 No third party rights are conferred.

19. Jurisdiction

19.1 Governed by English Law. Disputes subject to courts in England and Wales.
